Digital Information Publishing Agreement

Whereas:
- A) Digital Information Publishing (DIP) provides digital marketing services, including blogs for marketing, selling products, services, and creating search engines to drive traffic.
- B) The customer desires to purchase subscription-based services from DIP.
1. Subject of the Agreement
- 1.1. DIP provides access to services outlined under the subscription plan (“Subscription Plan”) selected by the Customer.
- 1.2. The customer may use the services for the purpose of utilizing the subscription.
2. Subscription Fees
- 2.1. Subscription Fee: The customer agrees to pay the subscription fee based on the plan selected.
- 2.2. Payment Options: The following subscription plans are available:
- £14.99/month – One-time payment
- £14.99/month – Recurring payment (monthly)
- 2.3. Taxes: The subscription fee does not include applicable taxes. The customer is responsible for paying taxes.
- 2.4. Payment Authorization: The customer must provide valid payment details (credit card, PayPal, or ACH) for automatic payments.
- 2.5. Additional Payment Terms: Any additional payment terms shall be outlined in an invoice or written agreement.
- 2.6. Deposit: The customer agrees to deposit the subscription fee within 28 days of signing the agreement.

DIP aims to provide the following benefits through its services:

- Targeted marketing to potential consumers

- For £14.99 per month, customers receive:
- Promotion through the Digital Information Publishing platform.
- The option to launch digital campaigns through articles, blogs, and pages.
- Listing their business on DIP’s search engine to gain exposure.

4. Term & Termination
- 4.1. The Agreement begins on the effective date and continues until terminated.
- 4.2. Subscription automatically renews unless the customer cancels before the end of the billing cycle.
5. Accessibility & Performance
DIP will make commercially reasonable efforts to provide services 24/7, except for maintenance or unforeseen events.
6. Intellectual Property
- 6.1. DIP IP Ownership: DIP retains ownership of all intellectual property rights related to the subscription services, content, and analytics.
- 6.2. Subscriber IP Ownership: The customer retains ownership of their content but grants DIP a non-exclusive right to use the content for the services.
7. Limitation of Liability
DIP will not be liable for any special, incidental, or consequential damages. The liability will be limited to the subscription amount received.
8. Independent Contractors
Both parties are independent contractors, with no partnership, joint venture, or employee relationship between them.
9. Severability
If any provision is unenforceable, the rest of the agreement remains in full force.
10. Governing Law & Jurisdiction

11. Assignment
